CentrePal Training Client Terms and Conditions

DEFINITIONS.

Client” means any third party with whom CentrePal enters into an agreement to provide Services.

Services” means training and consulting services provided by CentrePal.

“Materials” means all methodologies, processes, training practices, deliverables, tangible and intangible information, documents, reports, drawings, designs, software (including source and object code), concepts, data and other materials in any media whatsoever.

“Confidential Information” means all non-public information of a confidential or proprietary nature whether in written, verbal or file form regardless of whether it is identified at the time of disclosure as confidential. Confidential information is broadly defined and includes but is not limited to the Software, information about the Software, Materials, source code, specifications, business plans, client lists, financial plans, price lists, inventions, know-how, instructions, ideas, Customer’s client information, personal identifiable information (as set for in certain regulations), protected health information (as set forth in regulations), etc.

FEE STRUCTURE, TAXES AND DUTIES. The Fees exclude any taxes or duties payable in the jurisdiction where the payment is either made or received. To the extent that any such taxes or duties are payable by the CentrePal, the Client must pay to the CentrePal the amount of such taxes or duties in addition to any Services Fees owed. The fee stated covers the time required to perform the stated tasks.  Any additional tasks required will be charged at an agreed fee prior to commencement. 

PAYMENT OF FEES. For training, bookings will only be secured upon receipt of full payment or where a Purchase Order is supplied by the Client.  If a purchase order is provided, the purchase order represents a legal offer to confirm the booking and buy the Services. CentrePal reserves the right to change prices from time to time due to market conditions. 

INVOICING. If the Client does not have established credit with CentrePal, Client must make all payments of Fees in advance. In the event credit terms are approved by CentrePal, all invoices for Fees are payable 30 days from date of invoice. Unless mutually agreed in a separate writing, Fees are invoiced in full upon receipt of Order.

QUOTATION VALIDITY.  Training proposals are valid for a period of 30 (Thirty days) from the date issued. 

CONFIRMATION OF BOOKING. Training bookings cannot be confirmed until a formal instruction to proceed or purchase order is received.

CANCELLATIONS NOTICE. CentrePal will endeavour to accommodate cancellations of Training assignments where adequate notice of 4 weeks is provided in writing. Where adequate notice is not provided CentrePal will charge the full fee. CentrePal will provide a full refund less 50% administration fee where adequate notice of no less than 14 days is provided in writing. Cancellations with less than 14 days’ notice will be at full cost. Non-attendance is deemed as cancellation without notice and payment in full is due. 

CONFIDENTIALITY. Each party will keep confidential and not disclose or make public the Confidential Information of the other party without the prior written consent of the other party. 

INTELLECTUAL PROPERTY.  CentrePal intellectual property is one of the foundations of our business and consequently:  The Material used for consulting engagements or education workshops when owned or created by CentrePal, remains the property of CentrePal. No part of any CentrePal documentation, training manual, courseware or methodology may be reproduced in any form, stored in any retrieval system, transmitted or distributed in any form or by any means; electronic, mechanical photocopying, recording or otherwise without the express written permission of CentrePal. 

SEVERABILITY. If any provision of these terms is held to be invalid, all the other provisions of these terms will remain in full force and effect. 

FORCE MAJEURE. Neither party shall be liable for any failure or delay (other than failure to make payment) caused by events beyond its control, including, without limitation, pandemic, government ordered lockdowns,  sabotage, failures or delays in transportation or communications, labor disputes, accidents, shortages of labor, terrorist act, other actions or inactions of third-parties or technical failures. If CentrePal should fail to make any delivery provided for herein as a result of any such event or circumstance beyond its own direct control, CentrePal shall have the right to make delivery within a reasonable time after the cause of such delay has been removed, and Client shall be obligated to accept deferred delivery, it being agreed that upon the occurrence of any such circumstance or event beyond CentrePal’s direct control, the time for delivery by CentrePal shall be extended by the number of days of delay attributable to any such circumstance or event. 

LIABILITY. CentrePal endeavour to satisfy the requirements of their clients. In the unlikely event of any claim, action or demand made against CentrePal, CentrePal liability will be capped at the total amount of Fees received from the Client pertaining solely in respect of those Services. 

ACCEPTANCE. By instructing CentrePal to commence work or by attending a CentrePal course (regardless of the booking process/method) you are accepting the above terms.
